Terms & Conditions

These Terms & Conditions govern the business relationship between Northline Webdesign (Batog Mario-Georgian, Am Alten Sportplatz 21, 45770 Marl, Germany) and its clients. They apply to two distinct services: a one-time website creation project and an optional monthly maintenance and support subscription. Any deviating terms put forward by the client are not recognised unless expressly agreed in writing.

Part I — One-Time Website Creation

1. Conclusion of Contract

A contract is concluded when the client accepts Northline Webdesign’s offer in writing (including via WhatsApp or email) and confirms the agreed scope of work. No formal written contract document is required unless both parties request one.

By ticking the Terms & Conditions checkbox during the Stripe payment process, the client confirms that they have read, understood, and accepted these Terms & Conditions in full. The contract becomes legally binding at the moment this checkbox is checked and the payment is submitted.

2. Scope of Services

The agreed services include the design and development of a website as described in the individual offer. Unless otherwise agreed, the scope covers:

  • Design and development of a custom website
  • Mobile optimisation for all common devices
  • Integration of contact functions (WhatsApp and/or email)
  • Up to two rounds of revisions after the initial preview
  • Publication of the website after final payment

Services not listed above (e.g. SEO campaigns, photography, copywriting beyond minor assistance) are not included and may be quoted separately.

Third-party costs such as domain registration fees, premium plugins, stock assets, or external software subscriptions are not included in the project fee unless expressly stated in the offer. Hosting costs are covered under the monthly maintenance and support subscription for subscribed clients; clients without an active subscription are solely responsible for arranging and funding their own hosting. All other third-party costs remain the sole responsibility of the client and must be paid directly by the client to the respective provider.

Only services and deliverables explicitly described in the written offer, or in formally confirmed written amendments, form part of the contractual scope. Requests, assumptions, ideas, or discussions that arise during informal conversations — whether via WhatsApp, phone, or otherwise — and that are not expressly confirmed in writing do not create additional obligations. Any such requests will be treated as additional work and quoted separately before any work begins.

3. Payment

The flat project fee starts at €500. The final price may be higher depending on the scope, complexity, and specific requirements of the project, as agreed upon in the individual offer.

All stated prices are final amounts. Northline Webdesign operates under the Kleinunternehmerregelung (§ 19 UStG) and is therefore not required to charge VAT. No VAT will be shown on or added to any invoice.

The agreed project fee is split into two instalments:

  • 50 % deposit upon order confirmation, before work begins
  • 50 % final payment upon completion, before the website goes live

Payment is processed via Stripe. Invoices are due within 7 days of issue. If an invoice is not settled within this period, Northline Webdesign reserves the right to suspend ongoing work, delay publication, or withhold delivery until all outstanding amounts are fully paid. Statutory late-payment interest under German law (§ 288 BGB) may also apply.

4. Client Obligations

The client is responsible for providing all required content (text, images, logo, etc.) promptly. Late delivery may affect the project timeline. The client warrants that all content supplied does not infringe third-party rights such as copyright or trademark.

Northline Webdesign may refuse, remove, or request replacement of content that is illegal, defamatory, discriminatory, deceptive, hateful, sexually explicit, or otherwise inappropriate. Such a refusal is not a breach of contract and does not entitle the client to a refund.

The client agrees to indemnify and hold Northline Webdesign harmless against any third-party claims arising from client-supplied content, including copyright, trademark, or defamation claims.

The client is responsible for creating and maintaining ownership of any required third-party accounts and services (e.g. domain registrars, email platforms, or payment processors). Clients on the monthly maintenance and support subscription are not required to arrange separate hosting, as hosting is included in the subscription.

The client must provide any necessary access, permissions, or technical cooperation reasonably required for project delivery and ongoing support. This includes, but is not limited to, access credentials, administrative permissions, DNS records, or third-party platform access. Delays caused by the client’s failure to provide such access in a timely manner are the sole responsibility of the client and do not entitle the client to a price reduction or adjusted deadline.

5. Delivery & Timeline

The delivery timeline is determined individually based on the scope and complexity of the requested website and will be confirmed in writing as part of the project offer. Northline Webdesign will use reasonable commercial efforts to meet the agreed timeline, though it serves as a guideline and not a binding deadline unless expressly stated otherwise. Client-caused delays do not entitle the client to a price reduction. For the purposes of these Terms & Conditions, “business days” refers to Monday through Friday, excluding public holidays in North Rhine-Westphalia, Germany.

Project timelines are automatically paused whenever Northline Webdesign is waiting for client content, feedback, approvals, or any other required input, and resume only once those materials have been received. If a project remains inactive for 60 or more days due to the client failing to provide required input, it may be closed. Resuming a closed project is subject to a new agreement and updated pricing.

6. Acceptance

After the website preview has been delivered, the client has 7 days to provide written feedback or revision requests. If no written response is received within this period, the delivered website will be deemed accepted by the client in its current form. Acceptance triggers the right to issue the final invoice and proceed with publication upon payment.

Acceptance may only be withheld, and final payment may only be delayed, on the grounds of defects that materially deviate from the agreed scope of work. Subjective design preferences, minor aesthetic differences, or requests that fall outside the original brief do not constitute valid grounds for withholding acceptance or refusing final payment.

7. Revisions

Two rounds of revisions are included in the project fee. A revision round consists of a consolidated list of changes submitted by the client. Revisions are limited to adjustments within the originally agreed scope of work. New features, additional pages, structural redesigns, or functionality expansions are not considered revisions and will be quoted and billed separately. Each additional revision round beyond the two included will be charged at €50 per round.

8. Post-Launch Support & Compatibility

After delivery and acceptance, no ongoing support, updates, or additional modifications are included in the project fee unless covered by the monthly subscription. A 7-day correction window is provided at no charge, during which genuine technical defects within the agreed scope will be addressed. Issues caused by client modifications, third-party services, or out-of-scope requests are excluded.

Compatibility is guaranteed for modern browsers and devices at the time of delivery (current versions of Chrome, Firefox, Safari, and Edge on standard desktop and mobile devices). Future compatibility issues caused by browser updates, OS changes, or new devices are not covered unless the client holds an active maintenance plan.

Any post-delivery modification to the website’s code, structure, plugins, or hosting environment by the client or a third party voids all remaining technical guarantees and support obligations under the original project fee.

9. No Guarantee of Results

No specific commercial outcomes are guaranteed as a result of the delivered website. This includes, but is not limited to, search engine rankings, organic traffic, customer growth, conversion rates, or revenue improvements. The website is delivered as a professional digital asset; its commercial performance depends on factors outside Northline Webdesign’s control.

10. Ownership & Rights

Until full payment of the agreed project fee has been received, all drafts, concepts, source files, code, designs, and associated usage rights remain the exclusive property of Northline Webdesign. The client may not use, publish, reproduce, or distribute any part of the work — including previews or partial deliveries — before the final invoice has been settled in full.

Upon receipt of full payment, the client receives full ownership of the delivered website and its custom design. Northline Webdesign retains the right to reference the project in its portfolio unless the client objects in writing.

Third-party components used in the project (e.g. fonts, icon libraries, stock images) remain subject to their respective licences.

11. Cancellation

The client may cancel the project at any time by written notice. If work has already begun, the deposit is non-refundable. Northline Webdesign may additionally invoice proportionally for all work completed up to the cancellation date, including planning, design, development, revisions, and communication time. The total charged shall not exceed the full agreed project fee.

12. Abandoned Projects

If the client fails to provide required content, approvals, feedback, or payment for more than 30 consecutive days, the project may be considered abandoned and closed. Any deposit paid is non-refundable. Work completed to that point will be made available to the client if they wish to resume later, subject to a new agreement and updated pricing.

13. Liability

Northline Webdesign is not liable for damages arising from content provided by the client, third-party service outages (e.g. hosting providers, domain registrars), or the client’s own modifications to the website after delivery.

In no event shall Northline Webdesign be liable for indirect or consequential damages, including but not limited to lost profits, lost revenue, lost business opportunities, reputational damage, or operational interruptions, even if the possibility of such losses has been communicated in advance.

Liability for slight negligence is limited to foreseeable damages typical for the contract relationship. Mandatory statutory liability, liability for intent, and liability for gross negligence remain unaffected.

Part II — Monthly Maintenance & Support Subscription

14. Overview

The monthly maintenance and support service (€50/month) is entirely optional. Clients are under no obligation to subscribe to this service. It begins after the website has gone live and runs on a month-to-month basis. Hosting is included in the subscription. Clients who do not subscribe are responsible for arranging and funding their own hosting independently.

15. Included Services

The monthly subscription includes the following:

  • Hosting
  • Security updates and technical maintenance
  • Regular backups
  • Small content changes (up to 30 minutes of work per month)
  • Support for technical issues during regular business hours

“Small content changes” includes tasks such as text edits, image replacements, and minor layout adjustments. It does not include new pages, redesigns, advanced functionality, integrations, or major structural changes. Any work outside this definition will be quoted and billed separately.

Backups are a precautionary measure, not a guaranteed archival service. Completeness and recoverability cannot be warranted in all circumstances. Clients should maintain independent copies of critical business data. Support is provided during regular business hours (Monday–Friday, excluding public holidays in North Rhine-Westphalia). Emergency work outside normal availability may incur additional charges communicated before work begins.

16. Billing & Payment

The monthly subscription fee is billed via Stripe at the start of each billing period and is due immediately. If payment fails or is not received, Northline Webdesign reserves the right to suspend or discontinue the maintenance and support services until the outstanding amount is settled.

17. Cancellation

The monthly maintenance and support service may be cancelled at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for the remaining days of an active billing period.

18. Liability

Northline Webdesign bears no responsibility for downtime, data loss, compatibility issues, or business impact resulting from the client discontinuing the maintenance and support subscription or choosing to use their own hosting outside of the subscription. In the event of hosting-related issues within the subscription, Northline Webdesign will make reasonable efforts to restore service but does not guarantee uninterrupted availability and accepts no liability for losses resulting from hosting outages or third-party infrastructure failures.

General Provisions

20. Force Majeure

Northline Webdesign is not liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to internet or infrastructure outages, hosting provider failures, cyberattacks, illness, natural disasters, or payment provider interruptions. In such cases, affected timelines will be extended by the duration of the disruption.

21. Third-Party Service Dependencies & Costs

Some features of the delivered website may rely on external third-party services, including but not limited to payment providers (e.g. Stripe), hosting infrastructure, domain registrars, APIs, plugins, email services, analytics tools, or social media platforms. Northline Webdesign is not responsible for disruptions, changes, or discontinuations caused by these external providers. If a third-party service is updated or discontinued in a way that affects the website, any remediation work will be treated as a new project or billed separately.

All costs charged by third-party providers — including but not limited to domain registration and renewal fees, SSL certificates (where not managed under the subscription), premium plugins or themes, email hosting, payment processing fees, analytics platforms, or any other external software or service subscriptions — must be paid directly by the client to the respective provider. Hosting costs are covered under the monthly maintenance and support subscription for subscribed clients; clients without an active subscription are solely responsible for their own hosting costs. Northline Webdesign accepts no liability for any other third-party costs and will not cover them on behalf of the client unless explicitly agreed in writing.

22. Communication

Northline Webdesign includes all communication reasonably necessary to complete the agreed project. Excessive consultation, strategy discussions, repeated meetings, or communication significantly beyond what is required for project delivery may be billed separately at an agreed hourly or flat rate. The client will be informed before any such charges are applied.

23. Confidentiality

Both parties agree to treat as confidential any sensitive business information shared during the course of the project, including but not limited to pricing, business strategies, client data, and internal processes. Neither party shall disclose such information to third parties without the prior written consent of the other party, except where required by law. Confidential information may only be used for purposes directly related to the project and must be handled with reasonable care to prevent unauthorised access or disclosure.

24. Digital Communication

Approvals, confirmations, revision requests, feedback, and other contractually relevant communications provided via email, WhatsApp, Stripe checkout, or any other agreed digital channel are considered legally valid and binding. The client accepts that digital records of such communications may be relied upon by Northline Webdesign in any dispute regarding project scope, acceptance, or payment obligations.

25. Data Protection & GDPR

Northline Webdesign processes personal data in accordance with the General Data Protection Regulation (GDPR) and applicable German data protection law. Any personal data received in connection with a project — such as contact details, business information, or content supplied by the client — is used solely for the purposes of fulfilling the agreed services and will not be shared with third parties except where necessary for delivery (e.g. hosting providers or domain registrars).

The client is responsible for ensuring that any personal data they provide or request to be processed as part of the project has been lawfully collected and may legally be used for the stated purpose. Northline Webdesign accepts no liability for data protection violations resulting from unlawfully provided client content or instructions.

26. Consumer Withdrawal Rights

Where applicable under EU and German consumer law, private consumers may have a statutory right of withdrawal (“Widerrufsrecht”) of 14 days from the conclusion of the contract.

By confirming the order and submitting payment, the client expressly requests that work begins before the 14-day withdrawal period has expired. The client acknowledges that the right of withdrawal is forfeited once the service has been fully performed. If work has already begun at the time of withdrawal, the client remains liable for payment proportional to the services rendered up to that point.

27. Severability

Should any provision of these Terms & Conditions be or become invalid or unenforceable, the remaining provisions shall remain unaffected. The invalid or unenforceable provision shall be replaced by a valid one that comes closest to the original intent.

28. Governing Law

These Terms & Conditions are governed by the laws of the Federal Republic of Germany. The place of jurisdiction is Marl, Germany, to the extent permitted by law. Mandatory consumer protection rights under the client’s local jurisdiction remain unaffected where legally required.

29. Subcontractors

Northline Webdesign reserves the right to engage subcontractors or third-party service providers where necessary to fulfil project requirements. When doing so, Northline Webdesign remains solely responsible for the overall delivery, quality, and communication of the project. The client will not be billed any additional amounts as a result of subcontracting unless this is expressly agreed in advance.

30. Security Limitation

While Northline Webdesign implements reasonable security practices during development and, where applicable, as part of the monthly maintenance service, no website or third-party service can be guaranteed to be completely secure. Northline Webdesign is not liable for damages resulting from hacks, cyberattacks, malware infections, plugin exploits, data breaches, or other unauthorised access events that are beyond reasonable control, regardless of whether a maintenance subscription is active.

31. Legal Compliance

The client is solely responsible for ensuring that their website complies with all applicable laws and regulations, unless specific legal compliance services have been explicitly agreed upon in writing. This includes, but is not limited to, privacy policies, cookie consent mechanisms, e-commerce regulations, accessibility requirements, consumer protection obligations, legal notices (Impressum), and any industry-specific compliance requirements. Northline Webdesign does not provide legal advice and accepts no liability for the client’s failure to meet applicable legal or regulatory obligations.

32. Entire Agreement

These Terms & Conditions, together with the accepted individual offer and any formally confirmed written amendments, constitute the entire agreement between Northline Webdesign and the client. They supersede all prior discussions, representations, assumptions, or understandings, whether verbal or written, that are not expressly incorporated into the written offer or these Terms. No additional obligations arise from informal conversations unless confirmed in writing by both parties.
